Bill to extend the measures of dated 23 September 2020 concerning the holding of meetings in companies and other legal entities

On 31 May 2021, the government introduced a bill (no. 7826) to extend the measures of dated 23 September 2020 (as amended) concerning the holding of meetings in companies and other legal entities, in particular by extending the authorization for these entities, even if their articles of association do not provide for it, to hold any general meeting without a physical presence and to require its shareholders or associates and other participants in the meeting to participate and exercise their rights by remote voting or videoconferencing (for more details on these modalities, please refer to the amended law of 23 September 2020 http://legilux.public.lu/eli/etat/leg/loi/2020/09/23/a785/consolide/20201125).

Currently, this law (of 23 September 2020) remains in effect until 30 June 2021. If the bill is passed, it will remain in effect until 31 December 2021.
